Because at Solventum, we never stop solving for you.The Impact You'll Make in this RoleAs Senior Corporate Counsel, the candidate will join the Legal Securities and M&A team and will interact with, support various groups across the company with a primary focus on securities, corporate governance, M&A, finance and other corporate legal matters. This person will report to the Vice President, Associate General Counsel M&A and Securities. The candidate will provide counsel on securities, corporate governance matters, corporate finance and ESG matters, including drafting Forms 10-K, 10-Q and 8-K as well as proxy materials, preparation for Board meetings, preparing, managing and implementing corporate governance and related policies, advising on corporate finance matters and preparing, managing and implementing corporate policies. Stay up-to-date and keep Legal team advised on external governance trends, securities law and NYSE regulatory updates and ESG regulations, general legal issues and best practices. Provide legal training to members of management and business partners. Provide support for M&A transactions, including working with Corporate Development on deal structure and LOI terms, planning and assisting in due diligence, drafting, and negotiating deal agreements, and actively managing deal process and execution.
